Ok so far i have...
Fixed up the colour of the arms.
Made the shoulders round instead of spikes of death.
Added real legs, not just poles which finish at the knee.
Made the legs a better shape.
Made the kneecap more round.

Just noticed lol, the pistol looks like a drill. But the pistol is an odd shape anyway. Oh well.

Err, like Cal_Fin pointed out you really shouldn't make three threads for a variation on the same picture. Just post the new ones on the same thread, might as well be this one, or go back and edit your post updating the picture every time like Visual Mirage did with Duenen's sketch.

1. This line represents the top of the shoulder in your drawing... As you may see, the shoulders would be very low down. What you have done is make the armour start where the shoulders would, which is wrong. The armour would start around chin height. Imagine your drawng without the armour on... If you followed his neck muscles they would make a 45 degree line to his arm... Where shoulders are just a slight incline (depending on the character.)
Another thing I would do is make the shoulder armour wider than the arm... At the moment it looks like he has a big round shoulder (like the armour is a part of his arm.)
2. This arrow is pointing at the perpective of the belt. Your drawing is from front on so you would not see the top of the belt, it would be a straight line. If your aim was for it to be a couple of degrees from above then you would be able to see the tops of all his armour, feet etc. There would also be more shadows to show the shape of things.
3. The problem with the legs is that the two pieces of armour make the knee look like it's going to a vanishing point (follow the red arrows and imagine where they would meet, in the distance.) The main problem is the thigh piece of armour... This has angles which makes it look from above, while the calf piece is straight on. Make the angled lines horizontal and your legs will look fine.

Err, for the shoulders you don't imagine a line there, make one. Then put the armor over it, then erase the shoulder. Trust me imagining is pretty damned hard for some people. Like oh say... me.
On the TSA marine model the belt is made in such a way that you can see the top of it, because it's actually just a slant instead of a flat surface. It rises at a 45 degree angle to meet his chest plate.
Other than that <i>(because I didn't understand the criticism on the knees)</i> your post is fine ^.^
