    Totally erase your old drivers with DriverCleaner (<a href='http://www.driverheaven.net/cleaner/' target='_blank'>here</a>)
    Reboot
    Install new drivers (cats or omega's, your choice)
    Reboot.


    I believe HL is much more processor dependant than gfx card dependant. That is probably a reason as well.

    I had a 4X AGP mobo when I first got my 9800 pro to... Along with a crappy Athlong 1800 or something. Worse then my FX 5200.
    Added new mobo(With 8X)
    Added new processer(2800+)
    Added proper RAM(I was using SDRAM before)

    Total comes out to:OMG GAMING GOODNESS

    Check the sound card, other peaple have had problems with that card and some sound cards. Try disable sound completely.

    Display properties > settings > Smartgart

    Is Fastwrite turned off? Disabling that solved a -lot- of problems for me..

    It amazes me that people spend that much more money buying a graphics card, and still got specs dating back to 2001, and then expect it to work wonders.
    Anyways, make sure u've run DriverCleaner and get all ur former nVidia stuff OFF your computer, then install cat 4.9s, improved OpenGL support. Have fun, and 256mb's of ram is way outdated....

    If that's not the problem, then just use an older/newer version of the video drivers.
