Problems Lockups/freezes/no Boot

Hey there, just built a new computer. Had some troubles with it and wanted to know if you could help me. This is my first time buildign a computer, and i dont know whats going wrong.
Just got:
AMD 64 3200+ Socket 939
Chaintech S1689 Mobo
Corsair Value Select PC3200 Dual Channel (2GB Memory Kit) 184-pin DDR400
500W Intel/AMD ready, Dual Fans(80mm), Dual Heatsinks (Made by MGE)
Ultra Fire HeatPipe/Dual 80mm Fan
One CD-Rom 52X
One Floppy
Two 40 Gig Maxtor IDE Hardrives (One unpluged for time being)
SoundBlaster Live! 24-bit
BFG GeForece FX5500 (Soon to be GeForce 6800)
D-link Wireless Adapter (802.11G 108Mbps)
My problem is that when i can actualy boot into Windows XP Pro it takes forever to load any kind of program, Internet Explorer/Firefox, And after 2-3 mins of browsing my computer freezes for a few seconds, then later on it locks up completly. Sometimes Xp doesnt even get loaded before it locksup on me.
Can be getting to hot, ive got 6 80mm fans, and one 120mm fan.
2 80mm on case(One front/One Side), 2 80mm on Heatsink for CPU, 2 80mm in Powersupply, 1 120mm in back of case. Normal Temp in Bios(On chip) = 40*c Temp in case 30/32*c.
So far ive tryed to unplug uneeded things, like extra hhd, sound card, ive tryed to load windows with just floppy/cdrom/video/hhd1/one stick of ram(Both at different intervals); Tryed disabling Cool 'n' Quiet, ?underclocking?... Its at 800Mhz FSB? Im not to sure about all this(Clocking and whant not). Im pretty sure its down to being RAM/CPU/Mobo.
My dad is the main coputer dude around here, but hes away on a trip right now, and ive got a tournament for a game of mine tonight

Use only one stick of RAM for troubleshooting purposes, change NO BIOS settings until you're certain the settings aren't affecting it.
This sounds like a dodgy RAM problem to me, at a quick glance.
Settings for any hardware, if you want to know.
CPU, All s939 AMD A64's
FSB: 800MHz, effective.
HT Frequency: 2000MT/s
Cool 'n Quiet: OFF (buggy as hell atm, no use for a gaming system)
RAM:
Timings: All by SPD settings
Frequency: 200MHz
Motherboard:
Audio: Auto/Disable
Chipset functions:
Power mode: S1, or S3 if you want STR...
All IRQ, and DMA settings should be left well alone.
Memtest86 ftw.

I tested the RAM and there okay. No problems. So whats the leave me, my processer and heat management? Because it sure isnt power, ive got a 500w power supply and only 1 hhd, 1 cd-rom, and a few other things needed to run ghay arse windows.

Yeah, if the sticks of RAM check out on memtest86, it might be a compatibility problem with your motherboard. Many motherboards are very fickle when it comes to RAM. The DFI Ultra-D is a great example, it only accepts the higher end stuff, no value RAM.

Creative did not design them to comply with the full PCI spec, so they will have problems with a certain race condition, which is brought on by Ath64s, due to their using ACPI. I'm not sure as to the specifics, but removing my SBLive! fixed all crashes, lockups, freezes, and reboots.
I got a XFX GeForce 6800 AGP and all i get when i load up my computers a black screen. XFX doesnt have a Tech Support phone number, and i havent got a e-mail back from them yet.
Okay so that was a lie, cant help myself... Anywho, i am geting a new card from Tigerdirect, same thing, but at least this one should work.
Never known XFX to be **** when it comes to faulties. Have dealt with them directly, and never had a single problem with them (the engineers deal with all the faulties at work...)
Either way, the only incompatibilites I could find were pertaining to 133-chipsets, with AMD Athlon XPs, not A64's. As far as tha Interweb goes, it will be ok using the SBL! 24-bit card with your system...
